Ferrox Critical Minerals ("Ferrox", "we", "us" or "our") is committed to protecting the privacy of visitors to our website and the individuals whose personal information we hold. This Privacy Policy explains how we collect, use, share and safeguard personal information, and your rights in relation to it.

This policy applies to information collected through ferroxminerals.com and related corporate communications. It is designed to comply with the Protection of Personal Information Act, 2013 ("POPIA") of South Africa, and, where applicable, the UK General Data Protection Regulation, the EU General Data Protection Regulation and other applicable privacy laws.

2. Information we collect

Information you provide directly

  • Contact and enquiry information: name, email address, telephone number, organisation, and the contents of any message you submit through our contact forms.
  • Newsletter and investor updates: email address and any preferences you indicate when subscribing to receive updates.
  • Recruitment information: if you apply for a role or send us a CV, the information contained in your application, CV and any correspondence.
  • Investor relations enquiries: shareholder or potential investor information you provide directly, including identification information where reasonably required.

Information collected automatically

  • Device and browser information: IP address, browser type and version, operating system, device type, screen resolution, and language settings.
  • Usage information: pages visited, time spent on pages, referring website, links clicked, and approximate location derived from IP address.
  • Cookies and similar technologies: as described in section 9 below.

3. How we use information

We use personal information for the following purposes:

  • To respond to enquiries, provide requested information, and maintain correspondence;
  • To send corporate updates, investor communications and newsletters where you have subscribed;
  • To consider and process recruitment applications;
  • To operate, maintain, secure and improve our website;
  • To analyse website usage and measure the effectiveness of our communications;
  • To comply with legal, regulatory and corporate governance obligations, including disclosure obligations applicable to mining and capital markets activities;
  • To protect the rights, property or safety of Ferrox, our employees, contractors, shareholders or others.

4. Legal basis for processing

Where POPIA, the UK GDPR or EU GDPR applies, we rely on one or more of the following grounds for processing your personal information:

  • Consent — where you have agreed to receive marketing communications or where consent is otherwise required;
  • Performance of a contract or steps taken at your request before entering one;
  • Compliance with a legal obligation applicable to Ferrox;
  • Legitimate interests — including responding to enquiries, managing our operations, communicating with stakeholders, and securing our website — where these are not overridden by your rights and interests;
  • Protection of a legitimate interest of a data subject, as recognised under POPIA.

5. Sharing your information

We do not sell personal information. We may share it in the following circumstances:

  • Service providers who help us operate our business and website — including website hosting, email service providers, analytics providers, recruitment platforms, and professional advisers — all bound by appropriate confidentiality and data-protection obligations;
  • Within the Ferrox group of companies and our affiliated entities for the purposes described in this policy;
  • Legal and regulatory authorities where required by law, court order or regulatory request, including in connection with mining licences, securities regulation, or anti-money-laundering obligations;
  • Professional advisers such as legal counsel, accountants, auditors and insurers;
  • In connection with a transaction, such as a merger, financing, joint venture or sale of assets, subject to confidentiality obligations.

6. International transfers

Because Ferrox operates across multiple jurisdictions, personal information may be transferred to and processed in countries other than the one in which it was collected, including South Africa, Canada, the United Kingdom, Luxembourg and the British Virgin Islands. Where required, we put in place appropriate safeguards for such transfers, including standard contractual clauses or equivalent mechanisms.

7. Data retention

We retain personal information only for as long as necessary to fulfil the purposes for which it was collected, including to meet legal, accounting, regulatory or reporting requirements. Retention periods vary depending on the type of information and the purpose for which it is held. Where information is no longer required, we will delete, destroy or anonymise it in a secure manner.

8. Your rights

Depending on your location and the applicable law, you may have the following rights in relation to your personal information:

  • To request access to the personal information we hold about you;
  • To request correction or deletion of inaccurate or unnecessary information;
  • To object to certain types of processing, including direct marketing;
  • To withdraw consent at any time, where processing is based on consent;
  • To restrict processing in certain circumstances;
  • To data portability where applicable;
  • To lodge a complaint with the relevant supervisory authority — in South Africa, the Information Regulator (inforegulator.org.za); in the UK, the Information Commissioner's Office (ico.org.uk).

To exercise any of these rights, please contact us using the details in section 14.

9. Cookies and similar technologies

Our website uses cookies and similar technologies to function correctly, to remember your preferences, and to understand how visitors use the site. Cookies are small text files placed on your device by the websites you visit.

We use the following categories:

  • Strictly necessary cookies — required for the website to operate;
  • Analytics cookies — to understand visitor behaviour, including via Squarespace Analytics and any third-party analytics tools we may use;
  • Functional cookies — to remember preferences such as language;
  • Performance and security cookies — to maintain performance and detect malicious activity.

You can control cookies through your browser settings. Blocking some types of cookies may affect your experience on the site.

10. Security

We implement reasonable technical and organisational measures designed to protect personal information against unauthorised access, alteration, disclosure or destruction. No method of transmission over the internet or electronic storage is completely secure, however, and we cannot guarantee absolute security.

11. Third-party links

Our website may contain links to third-party websites — including LinkedIn and other professional networks, regulatory filings and investor resources. We are not responsible for the privacy practices of those sites. We encourage you to read their privacy policies before providing any information.

12. Disclaimer

This website does not constitute or form part of any offer for sale or solicitation of any offer to buy or subscribe for any securities nor shall it or any part of it form the basis of or be relied on in connection with, or act as any inducement to enter into, any contract or commitment whatsoever. This website is being supplied to you solely for your information and may not be reproduced, further distributed or published in whole or in part by any other person.

This website contains certain forward-looking statements and forward-looking information concerning the business, operations, exploration and development activities, and financial performance and condition of Ferrox Critical Minerals ("Ferrox").Forward-looking statements and forward-looking information include, but are not limited to, statements with respect to estimated production and mine life of Tivani (Pty) Ltd. (“Tivani”); the estimation of mineral resources; the timing and amount of estimated future production, if any; costs of production; and success of exploration activities. Except for statements of historical fact relating to Ferrox, certain information contained herein constitutes forward-looking statements. Forward-looking statements are frequently characterized by words such as “plan,” “expect,” “project,” “intend,” “believe,” “anticipate”, “estimate” and other similar words, or statements that certain events or conditions “may” or “will” occur. Forward-looking statements are based on the opinions and estimates of Ferrox’s management at the date the statements are made and are based on a number of assumptions and subject to a variety of risks and uncertainties and other factors that could cause actual events or results to differ materially from those projected in the forward-looking statements. Assumptions upon which such forward-looking statements are based include that Ferrox will obtain all required regulatory and governmental approvals to production within the time periods contemplated herein; that demand for the minerals produced will be as projected herein; and that South Africa will remain a mining jurisdiction. Many of these assumptions are based on factors and events that are not within the control of Ferrox and there is no assurance they will prove to be correct. Factors that could cause actual results to vary materially from results anticipated by such forward-looking statements include changes in market conditions, variations in ore grade or recovery rates, risks relating to international operations, fluctuating mineral(s) and currency exchange rates, changes in project parameters, the possibility of project cost overruns or unanticipated costs and expenses, labour disputes and other risks of the mining industry, failure of plant, equipment or processes to operate as anticipated. Although Ferrox has attempted to identify important factors that could cause actual actions, events or results to differ materially from those described in forward-looking statements, there may be other factors that cause actions, events or results not to be anticipated, estimated or intended. There can be no assurance that forward-looking statements will prove to be accurate, as actual results and future events could differ materially from those anticipated in such statements. Ferrox undertakes no obligation to update forward-looking statements if circumstances or management’s estimates or opinions should change except as required by applicable securities laws. The reader is cautioned not to place undue reliance on forward-looking statements.

CAUTIONARY NOTE TO U.S. INVESTORS CONCERNING ESTIMATES OF MEASURED, INDICATED AND INFERRED RESOURCES

This website uses the terms “Measured”, “Indicated” and “Inferred” Resources as defined in accordance with National Instrument 43-101 – Standards of Disclosure for Mineral Projects. United States readers are advised that while such terms are recognized and required by Canadian securities laws, the United States Securities and Exchange Commission does not recognize them. Under United States standards, mineralization may not be classified as a “Reserve” unless the determination has been made that the mineralization could be economically and legally produced or extracted at the time the reserve calculation is made. United States readers are cautioned not to assume that all or any part of the mineral deposits in these categories will ever be converted into reserves. In addition, “Inferred Resources” have a great amount of uncertainty as to their existence, and as to their economic and legal feasibility. It cannot be assumed that all or any part of an Inferred Resource will ever be upgraded to a higher category. United States readers are also cautioned not to assume that all or any part of an Inferred Resource exists, or is economically or legally mineable.
