Red River Exploration and Mining holds a 26% interest in Tivani. Not a token stake, but an aligned, long-term position with an option to extend into our neighbouring extension properties. South Africa's permitting environment punishes projects that fall short on community alignment. Our mining right has been held without interruption since 2013.

Four Pillars of Sustainability

Critical-minerals supply security depends as much on social licence as it does on geology. Our approach is structured around the four pillars that investors, regulators and host communities use to assess responsible mining.

Community

Red River Exploration and Mining holds a 26% B-BBEE interest in Tivani — a structurally significant partnership with the option to extend into neighbouring extension properties. Our mining plan prioritises Limpopo-resident employment and procurement from local contractors, with operational spend channelled back into the host region.

Environment

Progressive rehabilitation is built into the mine plan, with closure provisions held in trust under South African mining law. Process-water recycling minimises raw water draw per tonne processed, and on-site solar PV is under evaluation to reduce grid-power intensity over the life of mine.

Safety & health

We operate to South African Mine Health and Safety Act standards under a zero-harm operational philosophy. Safety leadership is a Board-level responsibility — not delegated below executive management. All contractors operate within a single safety management system covering induction, daily toolbox talks and incident reporting.

Governance

Board-level oversight extends across every pillar of our sustainability programme. We comply with the MPRDA, the Mining Charter, NEMA and NI 43-101 disclosure standards, with practices aligned to internationally recognised frameworks for responsible junior resource companies.

COMMUNITY

Building local communities

South Africa's Broad-Based Black Economic Empowerment (B-BBEE) legislation sets a 26% minimum Historically Disadvantaged Persons ownership requirement for mining rights. Many junior miners meet this threshold on paper and little more. Ferrox treats its B-BBEE partnership as a structural advantage.

Ferrox & Tivani are also bound by the commitments made to the DMRE under the Social & Labour Plan. Some of implementation projects are as follows:

Human Resource Development Program

Ferrox & Tivani contributes to the local community via the Adult Basic Education & Training Program (“ABET”), 18 candidates were identified for 2022/2023. The candidates are offered yearly internal & external internships for skills development.

Drill Borehole(s) provided to local villages

Tivani, with Greater Letaba Local Municipality committed to drill borehole(s) for community water supply serving 5 neighbouring villages.

Water Tanks provided to local villages 

Ferrox & Tivani provided 4 solar water pumps, one 1 for each of the 4 villages of Nkuna Traditional Council. We also provided 4 - 20,000-liter water tanks to each village for the storage of clean drinking water.

Community Centre Refurbishment 

Development & Refurbishment Nkuna Traditional Council Community Centre: The community centre was opened by His Majesty Hosi Muhlava II. This community centre serves as a place for the community to gather & for ceremonies including funerals and other events.

Sewing Machines Provided

The community centre provides skills of knitting and sowing to females of the communities. A total of twenty-eight (28) sewing machines of commercial grade (Juke) were donated to the community under this project. The sewing commenced on March 1st, 2022.

Education Materials

Tivani provided the financing for the procurement of textbooks for the community’s school children for their education and empowerment.

ENVIRONMENT

A small footprint, planned for closure from day one.

The Tivani Deposit's 13 km² tenure is being developed with operational design choices that minimise environmental impact relative to comparable open-pit titaniferous magnetite operations.

Water

The Limpopo Province location provides access to surface and groundwater resources, with water-use licensing held in compliance with the National Water Act. Operational design targets process-water recycling and minimises raw water draw per tonne of ore processed.

Energy

South Africa's national grid currently has a significant coal share, and operational realism requires acknowledging this. Ferrox is evaluating on-site renewable generation (solar PV) to reduce grid-power intensity over the life of mine, in line with the broader decarbonisation trajectory of South African industrial users.

Biodiversity & land use

The project area has been the subject of environmental impact and biodiversity assessment work as part of the Mining Right approval process. Progressive rehabilitation is built into the mine plan, with closure provisions established under South African mining law and financial provisions held in trust.

Mine closure

Closure planning is integrated into the project's design phase rather than addressed retrospectively. Financial provisions for rehabilitation are calculated and held in compliance with South African Department of Mineral Resources requirements.

Currently a bond for the amount of R5 million have been posted for the Mine Rehabilitation Plan. This rehabilitation bond will periodically topped up based upon the mining activity. The Company intends to top-up to R30 million at the earliest.
